1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of the Service located at https://sembla.ai, operated by DataLight LLC (“Company”, “we”, “our”, “us”), and are a legally binding agreement between you and us.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.

Your agreement with us includes these Terms and our Privacy Policy (jointly referred to as “Agreements”), available at https://sembla.ai/privacy.

We may modify these Terms at our sole discretion by posting an updated version on https://sembla.ai. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

2. Description of Service

Sembla is an AI-powered work context platform. It enables users and teams to connect their workplace tools via OAuth, automatically structure and cross-reference that data into a workspace, and use AI to compose, analyze, and act on their work context.

The Service includes: a web dashboard where your structured work context is visible and verifiable; a built-in AI chat interface for querying your workspace and executing skills; a skills execution engine for composing recurring work artifacts; and an optional MCP (Model Context Protocol) server that exposes your structured workspace context to compatible external AI tools such as Claude Desktop and Cursor.

AI-generated outputs (summaries, agendas, analyses, action proposals) are informational and subject to the quality and completeness of the data you connect. We do not guarantee any particular results or outcomes.

3. User Accounts and Responsibilities

Eligibility

The Service is intended for individuals at least eighteen (18) years of age. By accessing the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

Account Creation

To use the Service, you must create an account. You agree to provide accurate, complete, and current information at all times. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security at hello@sembla.ai.

Customer Responsibilities

Sembla is a self-serve product. To use it effectively, you are responsible for: connecting and authorizing your third-party tools via OAuth; verifying the accuracy and relevance of data surfaced within your workspace; managing your MCP API token permissions; and complying with the terms of service of any third-party tools you connect to Sembla.

Communications

By creating an Account on our Service, you agree to receive transactional and service-related communications. You may opt out of marketing communications by following the unsubscribe link or by emailing hello@sembla.ai.

4. Team Accounts and Authorized Users

If you subscribe to a plan that allows multiple users (“Team Plan”), you may invite Authorized Users to access the Service under your account. You are responsible for ensuring all Authorized Users comply with these Terms and for all activity that occurs under your account.

We are not responsible for disputes between you and your Authorized Users regarding workspace content, data ownership, or access rights.

5. Connected Third-Party Tools

Sembla connects to your third-party workplace tools via OAuth. By connecting a tool, you authorize Sembla to access, retrieve, transform, and persistently store data from that tool on your behalf, in accordance with the permissions you grant during the OAuth authorization flow.

Unlike tools that query your data live on demand, Sembla regularly syncs data from your connected tools and stores it as structured workspace content on our servers. You can view exactly what is stored by reviewing your workspace pages in the dashboard at any time.

You represent and warrant that you have the right to authorize such access and that doing so does not violate the terms of service of any connected tool or any applicable law. You may revoke access to any connected tool at any time through your account settings.

6. Subscriptions

Paid features of the Service are offered on a subscription basis (“Subscriptions”) for a fee. You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly or annual basis depending on the plan you select.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or DataLight LLC cancels it. You may cancel your Subscription through your online account settings or by contacting hello@sembla.ai.

7. Free Trial

DataLight LLC may, at its sole discretion, offer a Subscription with a free trial for a limited period of time. Free trials are managed by Paddle, our payment processor. If you do not purchase a subscription before the Free Trial ends, your workspace data may be permanently deleted.

8. Payments and Purchases

All payments are processed by Paddle (paddle.com), our authorized Merchant of Record. Paddle handles billing, invoicing, VAT and sales tax collection, and payment processing on our behalf. When you make a purchase, you are subject to Paddle’s terms of service and privacy policy in addition to these Terms.

You agree to provide accurate and complete billing information. You are responsible for any third-party fees associated with your payment method.

9. Fee Changes

DataLight LLC may, at its sole discretion, modify Subscription fees at any time. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide reasonable prior notice of any price change. Your continued use of the Service after a fee change constitutes your agreement to pay the modified amount.

10. Return and Refund Policy

If you are a Consumer, you have the right to cancel your initial subscription within fourteen (14) days of purchase without giving any reason. To exercise this right, contact Paddle at https://paddle.net/. This right applies only to the first subscription purchase and not to subsequent automatic renewals.

Except as described above or where required by law, paid Subscription fees are non-refundable.

11. Customer Data and AI-Generated Content

Ownership of Your Data

You own and retain all rights to the data you connect to the Service (“Customer Data”), including data retrieved from your connected third-party tools and content you write within your workspace. These Terms do not grant us ownership of your Customer Data.

How We Store and Process Your Data

When you connect a third-party tool, Sembla regularly retrieves data from that tool and transforms it into structured workspace pages stored on our servers. You can view, edit, and delete this stored content at any time through your workspace dashboard.

License to Us

You grant DataLight LLC a worldwide, non-exclusive, royalty-free, limited license to access, process, transform, and store your Customer Data solely to provide, maintain, and improve the Service for you. You are solely responsible for the legality, quality, and integrity of your Customer Data.

Ownership of AI-Generated Outputs

Outputs generated by the Service from your Customer Data — including summaries, 1:1 agendas, sprint briefings, and action proposals — are owned by you and may be used for your internal purposes. You are solely responsible for reviewing and acting on them.

Machine Learning and Service Improvement

We may use anonymized and aggregated data derived from your use of the Service to improve our AI models and service features. We will never publicly disclose or sell data that could identify you or your organization. You may opt out by emailing hello@sembla.ai.

MCP Server and External AI Tools

If you enable the MCP server feature, your structured workspace context is made accessible to external AI tools via API tokens you generate and control within the Service. You are responsible for the security of these tokens and for any use of your workspace context by external tools you authorize.

Data Processing Agreement

Enterprise customers who require a Data Processing Agreement (DPA) may request one by contacting hello@sembla.ai.

12. Intellectual Property

This is an agreement for access to and use of the Service; you are not granted a license to any underlying software. DataLight LLC retains all intellectual property rights to the Service, including its software, design, structured context engine, and AI models.

The Service and its contents are protected by Ukrainian and international copyright, trademark, patent, trade secret, and other intellectual property laws. Any unauthorized use of the material is prohibited.

13. Feedback

We encourage you to provide feedback at hello@sembla.ai. You agree that all Feedback is non-confidential and non-proprietary and shall become the sole and exclusive property of DataLight LLC, which shall be free to use, reproduce, modify, publish, and commercialize it in any manner.

14. Confidential Information

Each party may have access to certain non-public or proprietary information of the other party. Each party agrees to protect the other’s Confidential Information with at least the same degree of care used for its own confidential information. Upon termination or written request, each party shall promptly return or destroy the other’s Confidential Information.

15. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Connect tools or data sources you do not have authorization to access;
  • Sync or store sensitive personal data of third parties not appropriate for a professional productivity tool;
  • Attempt to circumvent security measures, access controls, or sync rate limits;
  • Reverse engineer or extract the underlying AI models, system prompts, or context engine;
  • Design or develop a competing product or service using the Service;
  • Transmit malicious code, spam, or unauthorized scraping tools;
  • Share or redistribute MCP API tokens in a way that grants unauthorized parties access to your workspace;
  • Misrepresent the source or ownership of data you connect to the Service.

The Service is not designed to comply with HIPAA, FISMA, GLBA, or similar industry-specific regulatory frameworks. Do not use the Service where such compliance is required.

16. Restrictions of Use

You agree not to, and will not permit others to:

  • License, sell, rent, lease, transmit, or otherwise commercially exploit the Service or make it available to any third party;
  • Modify, make derivative works of, disassemble, decrypt, or reverse engineer any part of the Service;
  • Remove, alter, or obscure any proprietary notice of DataLight LLC or its affiliates;
  • Use the Service to process data in violation of any applicable laws.

17. Third-Party Services

The Service integrates with or may display links to third-party tools and services. We are not responsible for the content, accuracy, availability, or terms of any third-party service. DataLight LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused by your use of or reliance on any third-party services.

18. Modifications and Updates to the Service

DataLight LLC reserves the right to modify, suspend, or discontinue the Service, temporarily or permanently, with or without notice and without liability to you. All Updates are subject to these Terms.

19. Term and Termination

Term and Renewal: Your subscription term begins on the date of purchase and renews automatically at the end of each Billing Cycle unless cancelled. You may send notice of cancellation by emailing hello@sembla.ai or by turning off auto-renew in your account settings.

Termination by Us: DataLight LLC may, at its sole discretion, suspend or terminate your access to the Service at any time, with or without notice, including if you fail to comply with these Terms.

Effect of Termination: Upon termination, you must immediately cease use of the Service. We are not required to retain your Customer Data after termination and may delete it, unless retention is required by law. All MCP API tokens are invalidated immediately upon termination.

20. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

AI-generated outputs are not a substitute for professional judgment. You are solely responsible for any decisions or actions you take based on outputs generated by the Service.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DATALIGHT LLC OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

22. Indemnification

You agree to indemnify, defend, and hold harmless DataLight LLC and its affiliates, officers, employees, and agents from and against any claims, damages, losses, and costs arising out of: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any third party’s rights; or (d) any unauthorized access granted through MCP tokens or OAuth credentials you manage.

23. Governing Law and Miscellaneous

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law provisions. DataLight LLC operates from Ukraine.

Any disputes shall first be attempted to be resolved through good-faith negotiation. If not resolved within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the courts of Ukraine, except where applicable law requires otherwise.

If any provision of these Terms is found unenforceable, the remainder shall continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and DataLight LLC regarding the Service.

Force Majeure

DataLight LLC shall not be responsible for any failure to perform due to circumstances beyond our reasonable control, including acts of God, war, terrorism, infrastructure failures, third-party API outages, or failures of telecommunications or information services.

Publicity

You grant us the right to identify you as a user of Sembla in our marketing materials. You may opt out by emailing hello@sembla.ai.
